Subscription and Payment Terms

Our AI business optimization solutions are offered on a subscription basis. By subscribing to our services, you agree to pay all fees at the prices in effect for the billing period in which the fees are incurred.

Billing and Renewal

Your subscription will automatically renew unless you cancel it at least 24 hours before the end of the current subscription period. You may cancel your subscription at any time through your account settings or by contacting our customer support team.

Price Changes

Yituyu reserves the right to revise its prices for its products and services at any time prior to the beginning of the next subscription period. Any price changes will take effect at the start of the next subscription period.

Refunds

Refunds are available within 30 days of the initial purchase for first-time customers. After this period, or for subsequent subscription periods, refunds are issued at the discretion of Yituyu management. Please refer to our specific refund policy for more details.

Intellectual Property Rights

The service and its original content, features, and functionality are and will remain the exclusive property of Yituyu and its licensors. The service is protected by copyright, trademark, and other laws of both Canada and foreign jurisdictions.

Your Content

Our service allows you to submit, upload, or otherwise make available content, including data, text, software, music, sound, photographs, graphics, and other materials. You retain all right, title, and interest in and to your content.

License to Use Your Content

By submitting, uploading, or otherwise making available content to the service, you grant Yituyu a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing, improving, and promoting the service.

Service Availability

We strive to keep the service operational and available at all times. However, we do not guarantee that the service will be uninterrupted, timely, secure, or error-free. We may experience hardware, software, or other problems or need to perform maintenance related to the service, resulting in interruptions, delays, or errors.

Service Modifications

Yituyu reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the service (or any part thereof) with or without notice. You agree that Yituyu shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the service.

Service Levels

For our paid subscription plans, we provide specific service level commitments regarding uptime and support response times. These commitments vary by subscription level and are detailed in our service level agreement, which is available upon request.

Disclaimer

The service is provided on an as-is and as-available basis. Yituyu makes no representations or warranties of any kind, express or implied, as to the operation of the service or the information, content, materials, or products included on the service.

You expressly agree that your use of the service is at your sole risk. To the full extent permissible by applicable law, Yituyu disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose.

Yituyu does not warrant that the service will be uninterrupted, timely, secure, or error-free. Information provided by Yituyu through the service is for general informational purposes only and does not constitute professional advice.

Limitation of Liability

In no event shall Yituyu, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your access to or use of or inability to access or use the service
Any conduct or content of any third party on the service
Any content obtained from the service
Unauthorized access, use, or alteration of your transmissions or content

In no event shall Yituyu's total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing or using the service during the preceding six months.

Indemnification

You agree to indemnify, defend, and hold harmless Yituyu and its parent, subsidiaries, affiliates, partners, officers, directors, and employees, from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of these Terms or your violation of any law or the rights of a third party.

Termination

We may terminate or suspend your account and bar access to the service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the service will cease immediately. If you wish to terminate your account, you may simply discontinue using the service. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law

These Terms shall be governed and construed in accordance with the laws of Ontario, Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

Dispute Resolution

Any legal action of whatever nature brought by either you or Yituyu shall be commenced or prosecuted in the federal and provincial courts located in Toronto, Ontario, Canada, and the parties hereby irrevocably consent to the exclusive jurisdiction and venue of such courts.

Before initiating any legal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiations. If a resolution is not reached within 30 days of initiating negotiations, either party may proceed with legal action as described above.
